These Terms of Service ("Terms") govern your use of ChordFlow, operated by ChordFlow ("we," "us," or "our"). By using ChordFlow, you agree to these Terms.


1. What ChordFlow Is

ChordFlow is a web-based guitar learning tool that provides chord progressions, interactive practice tools (metronome, tuner, ear training, scales), and related features. It is not a music streaming service and does not provide lyrics, audio recordings, or sheet music.


2. License Grant

We grant you a personal, non-exclusive, non-transferable, revocable license to use ChordFlow for your own personal, non-commercial purposes. You may not:

  • Resell, sublicense, or redistribute access to ChordFlow.
  • Use ChordFlow for commercial purposes without our written permission.
  • Reverse-engineer, decompile, or attempt to extract the source code.
  • Scrape, crawl, or systematically download content from ChordFlow.

3. Subscriptions and Auto-Renewal

Pricing

ChordFlow offers paid subscriptions at the following rates:

  • Monthly: $4.99 per month
  • Annual: $39.99 per year

Prices are in US dollars and may change with notice (see Section 11).

Auto-Renewal Disclosure (California ARL & FTC Compliance)

Your subscription automatically renews until you cancel. Here is exactly what that means:

  • Monthly plans renew every month at $4.99/month.
  • Annual plans renew every 12 months at $39.99/year.
  • You will be charged automatically at the then-current rate on each renewal date.
  • Before each annual renewal, we (or LemonSqueezy on our behalf) will send you a reminder email with the renewal date, amount, and how to cancel. This reminder is sent at least 30 days before renewal.
  • Your consent to auto-renewal is recorded at the time of purchase and retained for the duration of your subscription.

How to Cancel

You can cancel your subscription at any time through any of these methods:

  1. LemonSqueezy customer portal — use the management link in your purchase confirmation email.
  2. Email us at [email protected] and we will process your cancellation.

Cancellation takes effect at the end of your current billing period. You retain access until then. No further charges will be made after cancellation.

This cancellation process complies with the FTC's click-to-cancel rule — cancelling is as simple as subscribing.


4. Payment Processing

All payments are processed by LemonSqueezy, which acts as the Merchant of Record. When you purchase a subscription, your transaction is with LemonSqueezy. We do not collect, store, or process your payment card information.


5. Refunds

Refund requests are handled by LemonSqueezy as the Merchant of Record. Please refer to LemonSqueezy's refund policy or contact them directly. You may also contact us at [email protected] and we will assist you.


6. Acceptable Use

You agree not to:

  • Use ChordFlow in any way that violates applicable laws.
  • Attempt to gain unauthorized access to any part of the service.
  • Interfere with or disrupt the service or its infrastructure.
  • Use automated tools to access the service (bots, scrapers, etc.) without permission.
  • Share your license key with others or use it on an unreasonable number of devices.

7. Intellectual Property

What We Own

ChordFlow — including its design, code, branding, logos, interactive tools, and original content — is owned by ChordFlow and protected by applicable intellectual property laws.

What Nobody Owns

Chord progressions and song titles displayed in ChordFlow are not copyrightable under US law. We do not claim ownership of chord progressions or song titles, nor do we infringe on any copyright by displaying them.


8. Disclaimer of Warranties

ChordFlow is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee that ChordFlow will be uninterrupted, error-free, or free of harmful components.


9. Limitation of Liability

To the maximum extent permitted by law, ChordFlow shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of ChordFlow.

Our total liability for any claim related to ChordFlow is limited to the amount you paid us in the 12 months preceding the claim, or $50, whichever is greater.


10. Termination

We may suspend or terminate your access to ChordFlow if you violate these Terms. You may stop using ChordFlow and cancel your subscription at any time (see Section 3).

Upon termination:

  • Your license key will be deactivated.
  • You will not be entitled to a refund for the current billing period unless required by law.

11. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last Updated" date. For material changes (especially pricing or renewal terms), we will provide notice via the ChordFlow website or email.

Continued use of ChordFlow after changes constitutes acceptance of the revised Terms.


12. Governing Law

These Terms are governed by the laws of the United States and the State of Ohio, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Ohio.


13. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
